Terms of Service

1. Definitions

• Service refers to the LearnFlow learning management platform operated by Techspeak Solutions Pvt Ltd.
• User means any individual who accesses the Service, including administrators, instructors, and learners.
• Organization refers to the institution, department, or company that has contracted with Techspeak Solutions for access to the Service.
• Content includes courses, assessments, certificates, media, and any other materials created or uploaded within the Service.

2. Account Terms

You must register with accurate information and are responsible for maintaining the security of your account credentials. Access is granted only to authorized users within your organization. You must promptly notify us of any unauthorized access to your account.

3. Acceptable Use

You agree not to:

• Upload or distribute illegal, harmful, or infringing content.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape, mine, or extract data from the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Share login credentials or allow unauthorized access to your account.

4. Service Availability

We target 99.9% monthly uptime for the Service. Scheduled maintenance windows are communicated in advance and are excluded from uptime calculations. We reserve the right to perform emergency maintenance to address critical security or performance issues.

5. Data Ownership

Your organization retains full ownership of all data uploaded to or generated within the Service, including course content, user data, and assessment results. Techspeak Solutions acts solely as a data processor and will not use your data for purposes other than providing the Service.

6. Intellectual Property

The LearnFlow name, logo, and platform code are the intellectual property of Techspeak Solutions Pvt Ltd. Your subscription grants a non-exclusive, non-transferable license to use the Service for the duration of your agreement. Custom content you create remains your property.

7. Payment Terms

Institutional subscriptions are invoiced according to the agreed plan. Payment is due within 30 days of invoice date. Late payments may result in service suspension after written notice. All fees are exclusive of applicable taxes unless otherwise stated.

8. Limitation of Liability

To the maximum extent permitted by law, Techspeak Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of the Service. Our total liability shall not exceed the fees paid by your organization in the 12 months preceding the claim.

9. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination, your organization will have a 90-day window to export all data. After the export period, your data will be permanently deleted from our systems. We may terminate immediately for material breach of these terms.

10. Governing Law

These terms are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan.
